CLASSIFIEDS ONLINE AD BOOKING SERVICE
TERMS OF USE
Use of the Teletext Online Ad Booking Service
(the "Service") is subject to the following terms and conditions.
1. Acceptance of Terms of Use. BY SUBMITTING YOUR ADVERTISEMENT BOOKING
THROUGH THE SHORT MESSAGE SERVICE, YOU ARE INDICATING YOUR AGREEMENT TO
BE BOUND BY THESE TERMS OF USE. These Terms of Use are the entire agreement
between you and MediaCorp News Pte Ltd (the "Publisher")
with respect to the Service.
2. Advertisement. (a) Each advertisement shall not contain any
text in excess of the equivalent of 160 characters inclusive of punctuation
marks and spacing. (b) All advertisement bookings shall be subject to
acceptance by the Publisher in its absolute discretion. (c) You may not
alter, vary, cancel or withdraw any advertisement or advertisement booking
after submission to the Publisher. (c) Subject to the terms and conditions
contained in this Terms of Use, each advertisement will be placed on Teletext
for a minimum of 24 hours. (d) All advertisements placed on Teletext shall
be subject to such font, style and format as the Publisher may from time
to time deem fit in its absolute discretion.
3. Reservation of rights. The Publisher reserves the right to edit,
classify, re-schedule, reject or withdraw any advertisement or advertisement
booking at any time without assigning any reason and notwithstanding whether
there has been any indication or confirmation of acceptance of the advertisement
or advertisement booking or acceptance of any payment or part thereof
or the placement of the advertisement on Teletext.
4. Fees and Charges. You agree to pay all fees and charges at the
applicable rate prescribed by the Publisher in respect of the Service.
Such fees and charges shall become immediately due and payable upon the
Publisher's acceptance of the advertisement booking. All fees and charges
payable are subject to Goods and Services Tax ("GST"). All taxes
payable including GST shall be borne solely by you.
5. Warranties. You hereby warrant that the Service is utilized
by you for a lawful purpose and the advertisement does not contain any
content which: (a) infringe any intellectual property rights or any other
rights of any person, firm or entity; (b) is defamatory, obscene, harmful
or threatening; (c) may be construed directly or indirectly as false or
misleading advertising; (d) violates any laws, statutes or regulations
or which may expose the Publisher to any criminal or civil claims or proceedings.
6. Indemnity. You agree to indemnify and hold harmless the Publisher,
its officers, directors, employees and agents from any and all claims,
actions, demands, actions, proceedings, costs, claims and expenses (including
legal costs on a full indemnity basis) (whether made by third parties
or otherwise) sustained, incurred or suffered by the Publisher due to,
arising out of or related to (a) any advertisement placed on Teletext
upon your instructions or purported instructions; (b) your use or attempted
or purported use of the Service; and/or (c) your breach or violation of
these Terms of Use.
7. Exclusion of liability. While reasonable care will be taken
by the Publisher to process your advertisement booking, under no circumstances
will the Publisher be liable to you or any other party for any loss or
damage to you relating to, arising from or in connection with any interruption,
error, omission or delay by the Publisher in respect of the advertisement,
the advertisement booking or the Service whatsoever. Without prejudice
to the generality of the foregoing, the Publisher will not entertain any
complains or claims unless written notice is given by you to the Publisher
within [3] working days from the date of placement of the advertisement
on Teletext.
8. Modifications of these Terms of Use. The Publisher may modify
these Terms of Use from time to time in its sole discretion.
9. Applicable Law and Jurisdiction. These Terms of Use shall be
governed by and construed in accordance with the laws of Singapore, without
giving effect to its conflict of laws provisions. Each of you and the
Publisher hereby submits to the non-exclusive jurisdiction of the Singapore
courts.
